A large buildout behind the filing
Nscale is building several large data-center campuses, including sites in Norway and West Virginia. The company separated from Australian cryptocurrency mining company Arkon Energy two years ago. Since then, it has signed contracts worth more than $103 billion, according to its IPO filings.

That contract figure is striking beside the IPO fundraising target: the $103 billion is the value of contracts, not the amount raised or a measure of revenue. The $3.36 billion in convertible bonds, meanwhile, is fresh financing ahead of a proposed $3 billion public offering.
What the numbers leave open
I think the more consequential question is what those contracts require Nscale to spend, and how much of that buildout the bond financing can support. The announcement gives a sense of the scale of demand and planned construction, but not the terms of the convertible bonds or how the company expects to fund its campuses.
Nscale’s planned $3 billion IPO would be smaller than the $3.36 billion it has just raised through bonds. That contrast makes the offering less a simple finish line than another financing step in a business where construction commitments run far ahead of the cash being raised.
