Thrive Holdings buys ADT for $7.6 billion to build AI security

OpenAI-backed Thrive Holdings has agreed to acquire ADT for $7.6 billion in equity value, giving the investment firm a base in home security as it looks to apply AI across a portfolio of more than 75 companies. The deal’s ambition is clear; the products are not. ADT and Thrive have not said what new AI security offerings they plan to sell, only that they intend to invest in the area and develop new solutions.

A company-building strategy

Thrive Holdings was spun out of Thrive Capital, the venture firm founded by Josh Kushner. Its stated approach is to buy companies for the long term and update them with AI. OpenAI, a partner and investor in Thrive Holdings, supplies its companies with AI models, technology and engineers who work directly on site.

ADT is being positioned as the foundation of Thrive Holdings’ smart-home security business. The disclosed deal figures are:

$10per share
$7.6 billionequity value
$15.3 billionenterprise value
more than 75portfolio companies

Security is becoming an AI battleground

ADT is entering a market where established technology companies and startups are extending AI into physical security.

Apple recently entered the field with a smart-home and home-security device line developed with LG and Schneider Electric.
Amazon updated its smart-home device lineup, including cameras with AI.
ADT already works with Apple and Google and is expected to continue those partnerships.
Some startups are offering AI-equipped robot dogs that patrol properties as guards.

I think the acquisition is more revealing as a test of Thrive’s operating model than as a product announcement. OpenAI can bring models and engineers into an existing business, but neither company has yet named a new security product or explained what AI will change for customers.

That silence matters in a crowded field: ADT already has major technology partners, while newcomers are pushing AI into cameras and even patrol robots. Thrive is buying a foothold, but the value of the bet will depend on whether its on-site AI work produces something customers can distinguish from what the market already offers.
